Marketplace Disclosure

This Marketplace Disclosure is published in accordance with the Consumer Protection Act, 2019 and the Consumer Protection (E-commerce) Rules, 2020 and forms an integral part of the Terms of Use of HMS TRADE.
1. NATURE OF HMS TRADE PLATFORM
HMS TRADE operates as an online marketplace that facilitates transactions between buyers (“Consumers”) and independent third-party sellers (“Sellers” / “Vendors”).
HMS TRADE:
Provides a technology platform to enable discovery, ordering, and payment processing; and
May, in certain instances, also act as a Seller for specific products or services, which shall be clearly identified on the product page.
2. ROLE OF HMS TRADE AS AN INTERMEDIARY
Except where HMS TRADE is explicitly identified as the Seller of a product or service:
HMS TRADE does not own, manufacture, or store inventory listed by third-party Sellers;
HMS TRADE is not a party to the contract of sale between the Consumer and the Seller;
The contract of sale is entered into directly between the Consumer and the Seller.
HMS TRADE acts solely as a marketplace intermediary facilitating the transaction.
3. SELLER RESPONSIBILITIES
Each Seller on the HMS TRADE Platform is solely responsible for:
Accuracy of product descriptions, pricing, images, and specifications;
Quality, quantity, authenticity, and legality of products or services;
Issuance of invoices and compliance with applicable tax laws;
Fulfilment, shipping, delivery, warranty, and after-sales service;
Compliance with all applicable laws, rules, and regulations.
4. HMS TRADE AS A SELLER (WHERE APPLICABLE)
For products or services where HMS TRADE itself is identified as the Seller:
HMS TRADE shall assume all responsibilities applicable to a Seller under law;
Such identification shall be clearly disclosed on the product detail page.
5. PRICING & PAYMENT
Prices of products are determined by the respective Sellers.
HMS TRADE may collect payments on behalf of Sellers through authorized payment gateways.
Any platform fees, convenience fees, or delivery charges (if applicable) are disclosed to Consumers prior to order confirmation.
6. RETURNS, REFUNDS & CANCELLATIONS
Return, replacement, and refund policies are determined by Sellers and displayed on the respective product pages.
HMS TRADE facilitates returns and refunds in accordance with the applicable policy.
Except where HMS TRADE is the Seller, the primary obligation for returns and refunds rests with the respective Seller.
7. WARRANTIES & GUARANTEES
Any warranties or guarantees offered are provided by the Seller or manufacturer, unless expressly stated otherwise.
HMS TRADE does not independently provide warranties for third-party Seller products.
8. LIMITATION OF LIABILITY
To the extent permitted by law:
HMS TRADE shall not be liable for Seller acts or omissions;
HMS TRADE shall not be responsible for product defects, quality issues, or post-delivery service failures attributable to Sellers;
HMS TRADE’s role is limited to facilitating the marketplace transaction.
9. CONSUMER GRIEVANCE REDRESSAL
Consumers may raise queries or complaints through the Help / Contact Us section.
Unresolved grievances may be escalated to the Grievance Officer, whose details are published separately on the HMS TRADE website in compliance with applicable law.
10. STATUTORY RIGHTS
Nothing in this Marketplace Disclosure shall limit or waive a Consumer’s statutory rights under:
The Consumer Protection Act, 2019; or
Any other applicable law.
11. MODIFICATION
HMS TRADE reserves the right to modify this Marketplace Disclosure from time to time.
Any changes shall be effective upon publication on the Platform.
12. GOVERNING LAW & JURISDICTION
This Marketplace Disclosure shall be governed by the laws of India.
Courts located in Karnataka shall have exclusive jurisdiction.
